Purpose and Applicability
Aize Holding AS with subsidiaries (“Aize” or “we”) shall conduct its business with integrity, respecting the laws, cultures, dignity and rights of individuals in all the countries where we operate. Aize suppliers and other business partners (together referred to as “Partners”) are expected to act in accordance with our company values.
This Code of Conduct describes Aize’s commitments and requirements regarding ethical business practices and personal conduct, which the Partners are expected to comply with. The broader purpose is to act responsibly and to build and preserve the value of the company.
All Partners of Aize shall strive to exercise good judgment, care and consideration. If there are differences between applicable laws and regulations, and the standards set out in this Code of Conduct, the highest standard consistent with applicable local laws shall be applied.

Compliance with Laws and Regulations
Aize expects all its Partners to comply with all applicable local, national, and international laws and regulations, act ethically and in a sustainable and socially responsible manner. This includes but is not limited to comply with:

Anti-money laundering, anti-bribery and anti-fraud laws and regulations

Data protection laws and regulations (e.g., GDPR)

Furthermore, Partners must align their conduct with international laws and codes of conduct where such are applicable, such as:

Business Practices
Anti-corruption and Bribery
Aize has a zero-tolerance policy towards corruption and bribery. Partners shall comply with all applicable laws and regulations regarding corruption, bribery and other illegal business activities.
Partners shall refrain from offering, seeking, paying, promising or accepting any undue advantage to any person or entity, whether private or public, either directly or indirectly. Bribes can be in the form of money, or anything else of value, no matter how small, such as a gift or donation, travels, meals, or any other advantage. Facilitation payments aimed at expediting or securing the provision of products or services to which a Partner is legally entitled, are also prohibited. Such exchanges can be regarded as corruption in certain situations.
Specific caution is required in dealings with public officials, meaning any officer or employee of a government, a government department, agency, or government owned or controlled state enterprise, any person acting in an official capacity for or on behalf of a government or government entity or of a public international organization, any political party or party official, or any candidate for political office. Public officials include not only elected officials, but also consultants who hold governmental positions and political party officials.
No party will suffer any consequences for refusing to engage in improper payment activity, even if this results in loss of business.
Your responsibility

Never (either directly or indirectly through a third party) offer anything of value to improperly influence the actions or decisions of any person, including any public official or private party, in pursuit of Aize’s or Partner’s interests.
Gifts and Hospitality
Partners are aware that Aize does not accept gifts from its Partners, and shall therefore refrain from offering gifts or other favors to Aize, Aize’s employees, representatives, partners, or anyone closely related, except for promotional items of minimal value.
Hospitality, such as meals, social events or entertainment may be offered or accepted only where there is a clear business reason, and the costs are kept within reasonable limits. Travel, accommodation and other expenses for individuals representing Aize will be paid by Aize, unless otherwise agreed in the contract.
Gifts, hospitality, expenses or other favors shall never be offered or received in connection with contract bidding, evaluation, or award, or whenever public officials are involved.

Never accept or offer a gift or hospitality that would influence your or any other person’s judgment, or cause others to perceive such influence.

Never solicit a gift, hospitality or other favor for personal benefit from any of Aize’ stakeholders.

Do not accept or offer gifts in situations of contract negotiation, bidding, or award.

Do not offer or accept hospitality, expenses, or other favors where it could be perceived to influence decision making in situations of contract negotiation, bidding or award.

Exercise special caution in any dealings involving public officials.
Anti-Money Laundering
Money laundering is the processes of disguising the proceeds of crime, such as drug trafficking, terrorism, corruption and tax evasion, in order to hide its illegal origins or otherwise dealing with the proceeds of crime. Criminal proceeds include not only money, but all forms of assets, real estate and intangible property that are derived from criminal activity.
Aize is committed to complying with all anti-money laundering and anti-terrorism laws. We will conduct business only with reputable customers and business partners involved in legitimate business activities, with funds derived from legitimate resources. Aize expects its Partners shall firmly oppose all forms of money laundering and shall take steps to prevent their financial transactions from being used by others to launder money.

Conduct appropriate counterparty due diligence to understand the business and background of our prospective business partners and to determine the origin and destination of money and property.

Be attentive to attempts to make payments in cash or otherwise involving unusual banking or payment arrangements. Report suspicious transactions or incidents of money laundering to your Aize contract. or via the external whistleblowing channel.
Conflict of Interest
A conflict of interest occurs when personal relationships, participation in external activities or interest in another venture can influence or could be perceived to influence a person’s decision making when acting for Aize. A personal relationship could include spouse or other immediate family, relative and close personal friends.
Aize expects its Partners to not take part in or seek to influence any decision in circumstances that can give rise to an actual or perceived conflict of interest. Any conflicts of interest that cannot reasonably be avoided shall be notified to Aize.

Act in the best interests of Aize and take necessary steps to avoid situations and positions that may create or appear to create a conflict of interest.

Do not participate in any transactions or other business arrangements on behalf of Aize where you directly or indirectly have, or could reasonably be suspected to have, a personal interest or otherwise, directly or indirectly, benefit from your relation with Aize.

Avoid having interests outside the company in any business that competes with or provides services to Aize or its subsidiaries, which could affect your objectivity in carrying out your company responsibilities.

Avoid doing business on behalf of Aize with a close personal friend or relative.
Fair Competition
Antitrust law protects free enterprise and prohibits behavior that limits trade or that restricts fair competition and applies to every level of business. The antitrust laws combat illegal practices like price-fixing, market- sharing, bid-rigging conspiracies, abuse of market power by dominant companies, or behaviors that aim to achieve or maintain monopoly, and anticompetitive mergers and acquisitions.
Aize is committed to fair and open competition and does not tolerate violation of any applicable antitrust laws or regulations, and expects the same from our Partners. Our Partners shall not cause or be part of any breach of applicable general or special competition laws and regulations, such as illegal cooperation on pricing, illegal market sharing or any other behaviour that is in breach of relevant competition laws or regulations.

Ensure compliance with applicable antitrust laws.

Document decisions and processes in a manner that demonstrates compliance and cooperate with any internal or external investigations related to competition manners.

Do not obtain, receive, use or share non-public competitively or commercially sensitive information without a lawful reason.
Insider Information
Aize has a zero-tolerance against insider dealing, meaning trading in public traded shares or other securities while in possession of specific information capable of affecting the price of shares or securities and which is not publicly available or generally known in the market. The same applies disclosure of such information to someone else or influence someone else who then trades in those shares or other securities. It is a criminal offence to trade in shares or other securities on the basis of insider information. Aize expects its Partners to have routines in place to prevent unlawful use or disclosure of insider information received through work for Aize, and to immediately report any suspected misuse or unauthorized disclosure to Aize.

Protect confidential business information and never use it for your own benefit or share it with others for their benefit.

Never advise or make suggestions about the trading of shares or other financial instruments in the company to which the information relates.

Do not spread rumors, mislead with false information or manipulate prices.
Sanctions and Trade Control
Aize is committed to complying with all applicable international and economic sanctions and trade controls regulations, and we expect the Partners to do the same. Such sanctions and trade controls include those imposed by the European Union, Norway, the United Kingdom, the United Nations and the United States.

Ensure compliance with all applicable sanctions and trade control laws.

Assess carefully the potential impact of sanctions or trade controls laws before transferring goods, technology, software or services across national borders.

Assess whether any exported goods, technology, software or services are listed on any dual-use list, or common military list.

Before engaging in any business, ensure that any supplier, sub-contractor or other party are not subject to sanctions.

Be attentive to dealings with parties that are from sanctioned countries, or that are otherwise designated for financial sanctions.
Confidentiality
Aize is committed to protecting confidential information and expect the same from our Partners. Neither Aize nor its Partners shall misuse information belonging to Aize, our Partners or other third parties.

The duty of confidentiality also applies after the conclusion of any agreement with Aize and for as long as the information is considered sensitive or confidential in nature.

Keep confidential all matters that could provide third parties unauthorized access to confidential information.

Carefully consider how, where and with whom Aize-related matters are discussed.
Data Privacy
Aize expects its Partners to comply with all obligations under applicable data protection laws and regulations, including regulations on handling and storage of personal information. Partners shall ensure personal data is deleted or anonymized when no longer necessary.

Report and notify Aize immediately of any data breach related to our business.
Health, Safety and Environment
Safety
We expect our Partners to work ambitiously, through continuous improvement, for a healthy, safe, and secure work environment which as a minimum is in accordance with applicable laws and regulations. As a Partner to Aize, we expect that you will strive to have the best possible management system for health, safety, security and environment ( HSSE).
Anti-Harassment
At Aize, everyone shall be treated with fairness, respect and dignity. We expect the same from our Partners and expect them to maintain a harassment-free work environment. We do not tolerate any form of abuse, harassment, intimidation, degrading treatment or sexually offensive behavior by or towards employees or others affected by our operations.

Human and Labor Rights
Aize supports and respects internationally proclaimed human and labor rights, including the UN Declaration and Convention on Human Rights, the OECD Guidelines for Multinational Enterprises, the ILO Declaration on Fundamental Principles and Rights at Work and the UK Modern Slavery Act. Aize acknowledges all employees’ right to form and join trade unions of their own choice.
Aize has a zero-tolerance approach towards child labor, modern slavery and human trafficking.
Aize expects its Partners to respect internationally recognized human and labor rights, to have appropriate policies and procedures in place to prevent and address adverse impacts, and to take reasonable steps to ensure that relevant subcontractors and suppliers contributing to deliveries to Aize do the same.

Environmental Impact
Aize shall act responsibly with an ambition to reduce direct and indirect negative influences on the external environment. Further, our aim is to support our customers and the industry to be better environmental performers through our products and services. We are focused on reducing waste, reducing carbon dioxide (CO2) emissions and improving the environmental mind-set amongst our employees.
Aize therefore requires that Partners act responsibly with an ambition to reduce direct and indirect negative influences on the external environment. Partners shall adhere to relevant international and local laws and standards, strive to minimize their environmental impact and take a sustainable approach in their day-to-day operations.

Whistleblowing – Reporting a Breach
At Aize, we are committed to maintaining a transparent and ethical workplace. If you are aware of incidents or have suspicions concerning any violation of Aize’s ethical standards, applicable laws/regulations or other misconduct, we encourage you to report this.
We have established an external whistleblowing channel where employees, suppliers, business partners or others may report incidents. When using the external whistleblowing channel, you may choose to be wholly or partially anonymous. However, we urge you to provide as much and as detailed information as possible. Aize will ensure that there will be no retaliation against a whistleblower, nor any impact on a whistleblower’s professional career or relationship with Aize, for reporting possible violations in good faith.

Compliance and Monitoring
We expect that our Partners conduct their business in a manner consistent with the principles set forth in this Code of Conduct. Partners shall ensure that relevant parts of this Code are implemented and complied with by their subcontractors and suppliers contributing to deliveries to Aize.
Upon reasonable notice, Aize may verify compliance through requests for information, self-assessments and, where proportionate, audits (including of relevant subcontractors), subject to confidentiality and applicable law. Failure to comply with this Supplier Code or such audit can result in the termination of Aize’s relationship with the Supplier.
