Aize Terms of Use
1. General
These Terms of Use (the “ToU”) govern your (“you” or “your”) right to access and use Aize AS’ (“we”, “our” or “us”) service Aize and relevant documentation (“Aize”).
Your use of Aize is contingent upon a valid chain of agreements from which you directly or indirectly derive your right to access and use Aize. Such chain of agreements may be an agreement (the “Agreement”) between us and our customer (the “Customer”) which authorises the Customer to invite you to use Aize. As between us and the Customer, you agree that it is the Customer`s responsibility to (i) inform you of any relevant Customer policies, guidelines and/or settings that may impact your use of Aize, (ii) obtain any rights, permissions or consent from you and any other user of Aize that are necessary for the lawful use of Customer Data (defined below) and operation of Aize, and (iii) ensure that the processing of Customer Data under the Agreement is lawful.
2. Use of Aize
2.1 Access to Aize
Unless otherwise stipulated in the Agreement, we will grant you access to use Aize, subject to prior authorisation by the Customer. We will provide you with a username and a temporary password, to access and use Aize. You are responsible for (i) all activity that occurs under your account, (ii) keeping your username and password confidential, (iii) not permitting any third-party access to Aize, and (iv) maintaining accurate, complete, and up-to-date information in your account.
2.2 Third Party Services
Aize may support integrations with certain third-party platforms and third-party applications (“Third-Party Service”). To enable Aize to access and receive your information from a Third-Party Service, you may be required to provide information or undertake reasonable actions sufficient to facilitate use of the Third-Party Service. You are responsible for complying with any relevant terms and conditions of the Third-Party Service.
2.3 General usage rules
You must not use Aize in any way that causes, or may cause, damage to or disrupt the availability or accessibility of Aize.
When using Aize, you agree not to (i) use it in any way that is unlawful, illegal, fraudulent or harmful, (ii) use it in connection with any unlawful, illegal, fraudulent or harmful purpose or activity, (iii) defame, abuse, harass, threaten or otherwise violate the legal rights (such as right of privacy) of any other user of Aize or our staff, (iv) send any unsolicited or unauthorised advertising, promotional materials, email, or other form of solicitation, (v) misrepresent your affiliation with any person or entity; or (vi) upload, post or provide Content (defined below) that is illegal, unlawful or inappropriate in any manner.
2.4 Customer Data
All data (which includes, without being limited to text, audio, video or images in any shape and format) and Content (as defined below) uploaded to, transferred through, posted, processed and entered into Aize by the Customer and users (“Customer Data”) are the property of the Customer. Nothing in this ToU, or the fact that you have been granted the right to access Aize, shall be construed as granting any rights in Customer Data to you. You shall not use Customer Data for any other purpose than to perform your tasks and obligations.
2.5 User Content
You may provide any information in Aize, including data, text, audio, video or images in any shape and format (“Content”). When you submit Content in Aize, you acknowledge and agree that such Content is owned by the Customer and can be used by the Customer without restrictions of any kind. You consent to our use of the Content to provide Aize to you and other users in relation to the relevant Customer.
You must ensure that the Content follows this ToU and has never been the subject of legal proceedings or other similar complaint. We reserve the right to block your access to Aize and/or remove the Content if such Content is in breach of this section 2.
3. Confidentiality
You acknowledge that Aize, Content and the Customer Data (“Confidential Material”) are of a confidential nature, and you keep such Confidential Material secret. You shall not, without our prior express written consent, cause or permit disclosure of all or any portion of any Confidential Material, in any form or component, to any person or entity. You shall take all reasonable steps to safeguard the Confidential Material.
4. Intellectual property
Aize and all intellectual property rights therein are our exclusive property and all rights in and to Aize not expressly granted to Customer in the Agreement or to you in this ToU are reserved. You accept to comply with our reasonable requests to protect our or any third parties respective rights in Aize.
5. Privacy and data protection
We take matters of protection and security of users' personal data seriously and will process personal data in accordance with applicable privacy laws and regulations. To fulfil the Agreement with the Customer and to provide Aize, we will collect and process the following categories of your personal data: name, address, telephone, e-mail, IP-address and technical and behavioural data related to usage, either as a data controller or as a data processor for the Customer. 6. Disclaimer
Aize is provided “as is” and “as available”. We disclaim all representations and warranties, express, implied, or statutory, not expressly set out in this ToU, including the implied warranties of merchantability, fitness for a particular purpose and/or non-negligent performance other than as described in this ToU.
7. Limitation of liability
We are not liable for any damages, liability or losses arising out of your use of or reliance on Aize or your inability to access or use Aize, or any transaction or relationship between you and any third-party provider, even if we have been advised of the possibility of such damages. Further, we shall not be liable for delay or failure in performance resulting from causes beyond our reasonable control.
8. General provisions
8.1 Modifications
We may amend this ToU from time to time. If we make a material change to the ToU, we will provide you with reasonable notice prior to the change taking effect either by emailing the email address associated with your account or by messaging you through Aize.
8.2 Governing law and jurisdiction.
This ToU is governed by and construed in accordance with Norwegian law, with Oslo District Court as the agreed venue.
